  2. Electronic End User License Agreement
  3.  
  4. NOTICE TO USER:
  5. THIS IS A CONTRACT.  BY INDICATING YOUR ACCEPTANCE 
  6. BELOW, YOU ACCEPT ALL THE TERMS AND CONDITIONS
  7. OF THIS AGREEMENT. 
  8.  
  9.                 
  10.     ICONAUTHOR LICENSE AGREEMENT
  11.  
  12. This is a legal agreement (this "Agreement") between you
  13. (either an individual or an entity) and AimTech Corporation
  14. ("AimTech").  This Agreement is part of a package (the
  15. "Package") that also includes a sealed CD-ROM disk or sealed
  16. diskettes (collectively, the "Disk") and certain written
  17. materials (the "Documentation").  
  18.  
  19. DO NOT USE THIS DISK UNTIL YOU HAVE READ THIS AGREEMENT. 
  20. BY CONTINUING WITH THIS PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE 
  21. READ ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, 
  22. UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.  
  23. YOU UNDERSTAND THAT, IF YOU PURCHASED THE PACKAGE FROM 
  24. AN AUTHORIZED RESELLER OF AIMTECH, THAT RESELLER IS NOT 
  25. AIMTECH'S AGENT AND IS NOT AUTHORIZED TO MAKE ANY 
  26. REPRESENTATIONS OR WARRANTIES ON AIMTECH'S BEHALF NOR TO 
  27. VARY ANY OF THE TERMS OR CONDITIONS OF THIS AGREEMENT.  IN
  28. ADDITION, YOU ACKNOWLEDGE THAT, UNLESS OTHERWISE AGREED BY
  29. THAT RESELLER IN WRITING OR PROHIBITED BY LAW, THE LIMITATIONS
  30. OF WARRANTIES AND LIABILITY SET FORTH IN THIS AGREEMENT ALSO
  31. APPLY TO AND BENEFIT THAT RESELLER.

  33. If you do not agree to the terms of this
  34. Agreement, promptly return the entire Package, including the
  35. Disk case and the Documentation, to the place you
  36. obtained them for a full refund.
  37.  
  38.  
  39. 1.  LICENSE GRANT.
  40.  
  41. AimTech and its suppliers hereby grant you a personal, non-
  42. exclusive, non-transferable license (the "License") to use one
  43. copy of the digitized audio, video, and other media included
  44. on the Disk (the "Media"), one copy of the computer software
  45. programs and other software products included on the Disk (the
  46. "Software"), and one copy of the Documentation, all in
  47. accordance with the terms and conditions of this Agreement.
  48. AimTech and its suppliers retain title to and all copyright
  49. and other intellectual property rights in the Software, the
  50. Documentation, and the Media.  You are not granted any right,
  51. title, or interest in the Software, the Documentation, or the
  52. Media, except the right to use them in accordance with this
  53. Agreement.  Any rights not expressly granted are reserved to
  54. AimTech or its suppliers.

  57. 2.  GENERAL USE LIMITATIONS.
  58.  
  59. When operated, the Software and the Media must be resident
  60. only on a single computer (or, if applicable, on a licensed
  61. computer network) of a type for which the Software and the
  62. Media were designed to be used.  A "licensed computer network"
  63. is a computer network on which you have been separately
  64. licensed by AimTech to use the Software and the Media on such
  65. terms and conditions as AimTech and you may agree.  You may
  66. not use the Software or the Media, nor may you provide or
  67. otherwise make them available for use, in any multiple-user
  68. arrangement or remote access arrangement without a separate
  69. written license from AimTech.  You may not rent or lease the
  70. Software or the Media, but you may transfer the Software and
  71. the Media from one computer to another provided the Software
  72. and the Media are in use on only one computer at a time.  The
  73. Software and the Media are "in use" on a computer when they
  74. are loaded into temporary memory (i.e., RAM) or installed into
  75. the permanent memory (e.g., hard disk, CD-ROM, or other
  76. storage device) of that computer.  You may also transfer the
  77. Software, the Documentation, and the Media on a permanent
  78. basis provided you retain no copies and the recipient agrees
  79. in writing to the terms of this Agreement.

  82. 3.  COPYRIGHT.
  83.  
  84. The Software and the Media are owned by AimTech or its
  85. suppliers and are protected by United States copyright law and
  86. international treaty provisions.  Therefore, you must treat
  87. the Software and the Media like any other copyrighted material
  88. (e.g., a book or musical recording).  You may not copy (except 
  89. as otherwise expressly permitted by this Agreement or by 
  90. United States copyright law) the Software or the Media, 
  91. nor may you copy the Documentation.  Except as expressly 
  92. permitted by this Agreement, you may not modify, adapt, 
  93. translate, decompile, disassemble, or reverse engineer 
  94. the Software or the Media in any manner, you may not
  95. merge or embed the Software or the Media into any other
  96. computer program or work, and you may not create derivative
  97. works of the Software or the Media.

  100. 4.  SPECIFIC RESTRICTIONS.
  101.  
  102. A. The REDIST Directory.
  103. The Disk contains a directory named "REDIST" (the
  104. "Directory").  You are authorized (a) to copy, modify, and otherwise
  105. manipulate the Media located in the Directory into interactive
  106. IconAuthor applications (the "IA Applications") that you
  107. develop for your own internal use, (b) to copy and use
  108. internally the IA Applications, and (c) to prepare, through
  109. use of the Software, a copy of any IA Application that you
  110. develop using the Media located in the Directory (a
  111. "Distributable IA Application") for distribution to and use by
  112. third parties.  You may not otherwise copy, modify, or
  113. manipulate any of the Media located in the Directory.  The
  114. limited permissions contained in this paragraph DO NOT apply 
  115. to any other directory on the Disk.
  116.  
  117. B. Distribution of Distibutable IA Applications.
  118. The distribution of a Distributable IA Application shall be
  119. made by a license granted by you, on terms and conditions that
  120. are no less restrictive than the terms and conditions on which
  121. you license other computer software programs and products. Any
  122. such license must contain terms and conditions which exclude any 
  123. and all express or implied warranties from AimTech and limit AimTech's
  124. liability in the manner set forth in Section 7 below.  Such
  125. license shall also prohibit the licensee from (i) copying
  126. (except as otherwise expressly permitted by United States
  127. copyright law) the Software or the Media contained in the
  128. Distributable IA Application (the "Included Software and
  129. Media"), (ii) in any manner modifying, adapting, translating,
  130. decompiling, disassembling, or reverse engineering the
  131. Included Software and Media, (iii) merging or embedding the
  132. Included Software and Media into any other computer program or
  133. work, or (iv) creating derivative works of the Included
  134. Software and Media.

  136. C. Third Party Media or Software.
  137. NOTWITHSTANDING THE FOREGOING, YOUR USE OF ANY THIRD PARTY
  138. MEDIA OR SOFTWARE INCLUDED ON THE DISK FOR WHICH A SEPARATE
  139. LICENSE AGREEMENT IS INCLUDED OR REFERENCED IN THE PACKAGE
  140. SHALL ALSO BE GOVERNED BY THE TERMS AND CONDITIONS OF THAT
  141. LICENSE AGREEMENT.  IN THE EVENT OF ANY CONFLICT BETWEEN THE
  142. TERMS AND CONDITIONS OF THAT SEPARATE LICENSE AGREEMENT AND
  143. THIS AGREEMENT, THE TERMS AND CONDITIONS OF THE SEPARATE
  144. LICENSE AGREEMENT SHALL CONTROL AS TO YOUR USE OF THE THIRD
  145. PARTY MEDIA OR SOFTWARE LICENSED THEREBY.

  147. D. ISI File Format Software.
  148. The FRACTAL directory of the Software includes certain file 
  149. format software (the "ISI File Format Software") that Iterated 
  150. Systems, Inc. ("ISI") has authorized AimTech to include on the 
  151. Disk.  The File Format Software is compatible with separate 
  152. ISI computer programs (the "ISI Programs") for use in the 
  153. encoding and decoding of compressed images generated through 
  154. application of ISI's proprietary compression technology.  
  155. However, the ISI Programs are not included on the Disk, 
  156. and no license or other right to use them is granted by 
  157. this Agreement.  The File Format Software is included on 
  158. the Disk solely for your convenience. You are not authorized 
  159. to use the ISI File Format Software except in conjunction with 
  160. ISI Programs that you separately license from ISI or an authorized 
  161. ISI distributor and, in such case, subject to the terms and 
  162. conditions applicable to the Software under this Agreement 
  163. and to the terms and conditions of your ISI license.
  164.  
  165. E. Notices.
  166. You may not remove or alter AimTech's or its suppliers'
  167. copyright notices and other intellectual property rights
  168. notices included on the Disk or in the Software, the
  169. Documentation, the Media, or any IA Application.
  170.  
  171.  
  172. 5.  TERM.
  173.  
  174. The License is effective upon your opening the sealed Disk
  175. case included in the Package and will continue in effect until
  176. terminated either (a) by you, at any time by notifying AimTech
  177. in writing; or (b) automatically, upon your failure to comply
  178. with any term or condition of this Agreement.  You agree that,
  179. upon termination of this Agreement, you will promptly return
  180. to AimTech the Disk and the copy of the Documentation enclosed
  181. in the Package, you will destroy any copies of the Software or
  182. the Media made by or for you, and you will purge or otherwise
  183. remove all electronic and magnetic copies of the Software and
  184. the Media from any computer, storage medium, or other device
  185. on which the same may be stored or maintained.

  190. 6.  LIMITATION OF WARRANTIES.
  191.  
  192. You assume responsibility for the selection of the Software
  193. and the Media to achieve your intended results and for the
  194. installation and use of, and the results obtained from, the
  195. Software and the Media.  AimTech does not warrant that the
  196. functions or features contained in the Software and the Media
  197. will meet your requirements or that the operation of the
  198. Software and the Media will be uninterrupted or error free.
  199.  
  200. AimTech warrants (the "Limited Warranty") that the
  201. Documentation and the Disk (but not the Software or the Media)
  202. shall, under normal use, be free from defects in materials or
  203. workmanship for a period of ninety (90) days from the date of
  204. your purchase of the Package (the "Warranty Period").  If
  205. there is a breach of the Limited Warranty, you must notify
  206. AimTech of such breach within the Warranty Period and you
  207. should promptly return the defective Documentation and/or Disk
  208. to AimTech in accordance with its warranty return
  209. instructions.  Subject to its verification of the defect,
  210. AimTech will either repair or replace the defective
  211. Documentation and/or Disk and return it or them to you.

  213. EXCEPT FOR THE LIMITED WARRANTY, AIMTECH AND ITS SUPPLIERS
  214. MAKE, AND YOU RECEIVE, NO EXPRESS OR IMPLIED WARRANTIES OF ANY
  215. KIND (INCLUDING, WITHOUT LIMITATION, NO IMPLIED WARRANTIES OF
  216. MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, NOR ANY
  217. WARRANTIES AS TO RIGHTS OF THIRD PARTIES OR NON-INFRINGEMENT)
  218. WITH RESPECT TO THE DISK, THE SOFTWARE, THE DOCUMENTATION, OR
  219. THE MEDIA, ALL OF WHICH ARE OTHERWISE PROVIDED "AS IS".  Some
  220. states and jurisdictions do not allow the exclusion of implied
  221. warranties, so the above exclusion may not apply to you.  This
  222. warranty gives you specific legal rights, and you may also
  223. have other rights which vary from state to state or
  224. jurisdiction to jurisdiction.

  227. 7.  LIMITATION OF LIABILITY.
  228.  
  229. AIMTECH AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY SPECIAL,
  230. INDIRECT, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAMAGES
  231. (INCLUDING, WITHOUT LIMITATION, ANY LOSS OF DATA OR LOST
  232. PROFITS) PERTAINING IN ANY WAY TO THE DISK, THE SOFTWARE, THE
  233. DOCUMENTATION, OR THE MEDIA, OR TO ANY OF AIMTECH'S
  234. OBLIGATIONS UNDER THE LICENSE OR THIS AGREEMENT, EVEN IF
  235. AIMTECH HAS BEEN MADE AWARE OF THE POSSIBILITY OF ANY SUCH
  236. LOSSES OR DAMAGES.  Some states and jurisdictions do not allow
  237. the exclusion or limitation of special, indirect, incidental,
  238. or consequential damages, so the above limitation and
  239. exclusion may not apply to you.

  244. 8.  TAXES.
  245.  
  246. You agree to be responsible for and to pay, and to reimburse
  247. AimTech on request if AimTech is required to pay, any sales,
  248. use, or other tax (excluding any tax that is based on
  249. AimTech's net income), assessment, duty, tariff, or other fee
  250. or charge of any kind or nature that is levied or imposed by
  251. any governmental authority on your purchase of the Package,
  252. the License, or your use of the Software, the Documentation,
  253. or the Media.

  256. 9.  GENERAL.
  257.  
  258. This Agreement is the complete and exclusive statement of the
  259. agreement between AimTech and you, and this Agreement
  260. supersedes any prior proposal, agreement, or communication,
  261. oral or written, pertaining to the subject matter of this
  262. Agreement.  This Agreement shall be governed by the laws of
  263. the State of New Hampshire and of the United States of
  264. America.  All questions concerning the terms and conditions of
  265. this Agreement should be directed to AimTech in writing
  266. addressed to AimTech Corporation, 20 Trafalgar Square, Nashua,
  267. New Hampshire 03063-1973.

  272.           U.S. GOVERNMENT RESTRICTED RIGHTS LEGEND
  273.  
  274. The Software, the Documentation, and the Media are provided
  275. with RESTRICTED RIGHTS.  Use, duplication, or disclosure by
  276. the Government is subject to restrictions as set forth in
  277. subparagraph (c)(1)(ii) of the Rights in Technical Data and
  278. Computer Software clause at DFARS 252.227-7013 or
  279. subparagraphs (c)(1) and (2) of the Commercial Computer
  280. Software - Restricted Rights clause at 48 CFR 52.227-19, as
  281. applicable.  The contractor/manufacturer is AimTech
  282. Corporation, 20 Trafalgar Square, Nashua, New Hampshire 03063-
  283. 1973.
